Terms & Conditions

Please review the terms governing the provision of professional language services.

1. Services

Vanessa Vlad, operating under the brand name Vanelates, provides professional language services including but not limited to:

  • Translation (general, technical, and specialized)
  • Subtitling (SDH, closed captions, template creation, QA)
  • Localization (software, multimedia, and content adaptation)
  • Language tutoring (Italian, Romanian, English, Spanish, German)

The specific scope, deliverables, deadlines, and rates for each project are agreed upon in writing (via email or formal quote) before work begins.

2. Client Responsibilities

The client agrees to:

  • Provide all source materials, reference documents, glossaries, and style guides necessary for the project in a timely manner.
  • Ensure that source materials are clear, complete, and legally authorized for use.
  • Communicate any specific requirements, preferences, or constraints before the start of the project.
  • Review deliverables within the agreed-upon timeframe and provide feedback promptly.

Delays caused by incomplete or late provision of materials may result in adjusted deadlines.

3. Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

  • Invoices are issued upon delivery of the completed work.
  • Payment is due within 30 days of the invoice date.
  • Payment may be made via bank transfer or other methods agreed upon in advance.
  • For large projects, a deposit of up to 50% may be required before work begins.

Late payments may incur interest in accordance with applicable Italian law. The service provider reserves the right to suspend ongoing work in the event of overdue invoices.

4. Confidentiality

All source materials, deliverables, and project-related communications are treated as strictly confidential. The service provider will not disclose, share, or use any client materials for purposes other than the completion of the agreed-upon project.

Non-disclosure agreements (NDAs) are accepted and can be signed upon request. The service provider routinely works under NDA with major entertainment studios and media companies.

Confidentiality obligations survive the termination of the business relationship.

5. Intellectual Property

All intellectual property rights in the delivered work transfer to the client upon full payment of the agreed fee, unless otherwise specified in a separate agreement.

Until full payment is received, the service provider retains all rights to the deliverables. The client may not use, publish, or distribute unpaid work.

The service provider reserves the right to reference the nature of the work (e.g., language pair, project type) in a portfolio or resume, without disclosing confidential content, unless restricted by an NDA.

6. Revision Policy

Each project includes one free round of revisions, provided the revision request is submitted within 7 days of delivery.

Revisions must be based on the original brief and scope of work. Changes that constitute new instructions, expanded scope, or significant alterations to the source material will be quoted as additional work.

Further revision rounds beyond the included one may be arranged at an agreed-upon rate.

7. Cancellation

Either party may cancel a project by providing written notice. In the event of cancellation:

  • The client is responsible for payment of all work completed up to the date of cancellation.
  • Any deposits paid are non-refundable if work has already commenced.
  • The service provider will deliver all completed work upon receipt of payment for said work.

8. Limitation of Liability

The service provider strives for the highest quality in all deliverables. However, liability is limited to the total fee paid for the specific project in question.

The service provider shall not be held liable for:

  • Indirect, incidental, or consequential damages arising from the use of delivered work.
  • Losses caused by the client's misuse, unauthorized modification, or misrepresentation of the delivered work.
  • Delays or failures caused by force majeure events beyond reasonable control.

The client is responsible for the final review and approval of all deliverables before publication or distribution.

9. Governing Law

These terms and conditions, and any disputes arising from or in connection with them, are governed by and construed in accordance with the laws of the Italian Republic.

10. Dispute Resolution

In the event of any dispute arising from these terms or from a service agreement, the parties agree to first attempt resolution through good-faith negotiation.

If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the Court of Pavia, Italy.

11. Acceptance

By engaging the services of Vanessa Vlad / Vanelates, the client acknowledges that they have read, understood, and agreed to these terms and conditions.
